Important information on the BKW share, bonds and financial calendar

At the beginning of the reporting period, the BKW share continued its upwards trend of recent years. Its price rose sharply in mid-January, on communication of increased profit expectations. For a short time, it broke through the CHF 90 mark. In March, however, BKW’s share price could not escape the downwards trajectory of the overall market as a result of uncertainty surrounding COVID-19. Nevertheless, the presentation of the strong 2019 annual result on 18 March 2020 stopped the negative development of the share and the share price moved up again. After a sustained period of moving sideways during the second quarter of the year, it then recovered significantly in June. The BKW share closed at CHF 85.00 on 30 June 2020. The share’s performance of 19% since the start of the year (SPI: – 3%) represents an extremely positive development in a financial market situation characterised by uncertainty because of the coronavirus pandemic.

Appropriation of profit

The General Meeting agreed a dividend of CHF 2.20 per share for the 2019 financial year. The dividend was paid out on 22 May 2020.

Restrictions on share transferability

The Company may refuse to register an acquirer of shares in the register of voting shareholders for the following reasons:

a) If the acquisition results in a natural person, a legal entity or a partnership holding (directly or indirectly) more than 5% of the entire share capital. The same restriction applies to legal entitles, partnerships, groups of persons or joint ownerships that are bound by capital or voting rights, shared management or otherwise linked. Moreover, the restriction applies to all natural or legal persons or partnerships that act in concert to acquire shares;

b) If the acquirer has not expressly declared that he has acquired the shares in his own name and on his own behalf.
